1. Agreement to Terms

By accessing or using Pact's services, website, or applications (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Services.

Pact provides AI-powered contract analysis, negotiation assistance, compliance scanning, and related legal operations tools. Our Services are designed to assist with legal document review and analysis but do not constitute legal advice.

3. User Accounts

To access certain features of the Services, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activities.

4. Subscription and Payment

Certain features of the Services require a paid subscription. By subscribing, you agree to:

• Pay all fees according to the pricing and payment terms presented at subscription
• Authorize us to charge your designated payment method for recurring fees
• Provide accurate billing information and update it as necessary

Billing: Subscription fees are billed in advance on a monthly or annual basis depending on your selected plan. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

Price Changes: We may change subscription fees with 30 days' prior notice. Continued use after the price change constitutes acceptance of the new fees.

5. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party rights
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to any part of the Services
• Interfere with or disrupt the Services or servers
• Circumvent any access or rate limiting measures
• Resell, redistribute, or sublicense the Services without authorization
• Use the Services to generate content that is illegal, harmful, or infringes on others' rights
• Misrepresent AI-generated content as human-created legal advice
• Use automated systems to access the Services beyond permitted API usage

6. Intellectual Property

Our Content: The Services, including all software, algorithms, designs, text, graphics, and other content provided by Pact, are owned by us and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express permission.

Your Content: You retain ownership of all documents, data, and content you upload to the Services ("Your Content"). By using the Services, you grant us a limited, non-exclusive license to process Your Content solely to provide the Services.

AI Outputs: AI-generated analysis, suggestions, and reports produced by the Services based on Your Content may be used by you for your business purposes, subject to these Terms. We retain no ownership of outputs generated from Your Content.

7. Data Privacy and Security

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

We implement commercially reasonable security measures to protect Your Content and personal information. However, no method of electronic storage or transmission is 100% secure, and we cannot guarantee absolute security.

You agree to indemnify, defend, and hold harmless Pact and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Services; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

11. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination:

• Your right to use the Services will immediately cease
• We may delete Your Content after a reasonable period
• Sections of these Terms that by their nature should survive will remain in effect

12. Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Arbitration: Any dispute arising from or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Delaware or remotely via video conference.

Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between us individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.

14. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Pact.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver: Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
